Agreement to Terms

These Terms of Service constitute a legally binding agreement between you (whether personally or on behalf of an entity) and Metrisk AI regarding your access to and use of our risk management platform and services. By accessing or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree with any part of these Terms, you must discontinue use of our services immediately. We reserve the right to modify these Terms at any time, and your continued use of the services following any changes constitutes acceptance of those modifications.

Service Description and Scope

Metrisk AI provides an AI-driven risk management platform designed for enterprise and business use. Our services include real-time KPI monitoring, anomaly detection, risk scoring, scenario stress testing, and compliance reporting capabilities.

The platform is intended for operational risk management purposes and is specifically designed to support informed business decision-making. Our services are not financial advice, investment recommendations, or a substitute for professional financial consultation.

Platform Capabilities

Our platform offers AI-powered analysis of business metrics, predictive risk modeling, and explainable risk scores. However, all outputs should be reviewed by qualified personnel within your organization before making critical business decisions.

Account Registration and Responsibilities

To access our services, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Account Security

You must immediately notify us of any unauthorized access to or use of your account. We recommend implementing strong passwords, enabling multi-factor authentication where available, and regularly reviewing account activity.

Organizational Accounts

If you are registering on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. The organization will be responsible for all activities conducted through the account.

Subscription Plans and Billing

Our services are provided on a subscription basis with various plan tiers. Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. All fees are non-refundable except as required by law or as explicitly stated in these Terms.

Payment Terms

You authorize us to charge your designated payment method for all fees incurred. If automatic payment fails, we will attempt to notify you and may suspend your service until payment is received. You are responsible for maintaining valid payment information.

Plan Modifications

You may upgrade or downgrade your subscription plan at any time. Upgrades take effect immediately, while downgrades take effect at the start of your next billing cycle. Any changes will be reflected in your subsequent invoice.

Acceptable Use Policy

You agree to use our services only for lawful purposes and in accordance with these Terms. You must not use our platform to:

• Violate any applicable laws, regulations, or third-party rights
• Upload malicious code, viruses, or harmful software
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the integrity or performance of our services
• Reverse engineer, decompile, or attempt to extract source code from our platform
• Use our services to compete with us or develop competing products
• Share your account credentials with unauthorized third parties
• Scrape, harvest, or collect user data without permission

Intellectual Property Rights

All content, features, and functionality of the Metrisk AI platform, including but not limited to software, algorithms, text, graphics, logos, and design elements, are owned by Metrisk AI and protected by international copyright, trademark, and other intellectual property laws.

Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our services for your internal business purposes during your subscription period.

Your Content

You retain all rights to the business data and information you upload to our platform. By uploading content, you grant us a license to process, store, and analyze that data solely for the purpose of providing our services to you.

Data Processing and Ownership

You retain ownership of all data you provide to our platform. We act as a data processor on your behalf and process your data solely in accordance with your instructions and our Privacy Policy.

Data Processing Agreement

For customers subject to GDPR or similar regulations, our Data Processing Agreement forms part of these Terms. We commit to processing personal data only as necessary to provide our services and in compliance with applicable data protection laws.

Data Export

You may export your data from our platform at any time using our data export tools. Upon termination of your subscription, we will retain your data for a grace period as specified in your plan, after which it will be permanently deleted.

Service Availability and Maintenance

We strive to maintain high availability of our services but cannot guarantee uninterrupted access. We may perform scheduled maintenance, updates, or emergency repairs that may temporarily affect service availability.

Service Level Agreement

Depending on your subscription tier, specific uptime guarantees and support response times may apply. Details of our SLA commitments are provided in your service plan documentation.

Planned Maintenance

We will provide reasonable advance notice of planned maintenance windows. Emergency maintenance may be performed without prior notice when necessary to maintain security or functionality.

Limitation of Liability

To the maximum extent permitted by law, Metrisk AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill, arising from or related to your use of our services.

Our total liability for any claims arising from these Terms or your use of our services shall not exceed the amount you paid to us in the twelve months preceding the claim.

Risk Management Disclaimer

Our platform provides risk analysis tools and insights, but these should not be the sole basis for business decisions. We do not guarantee the accuracy, completeness, or timeliness of risk assessments. You remain solely responsible for all business decisions made using our platform.

Warranties and Disclaimers

We provide our services "as is" and "as available" without warranties of any kind, either express or implied. We disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

While we implement robust security measures, we cannot guarantee that our services will be error-free, secure, or free from viruses or other harmful components. You assume all risks associated with your use of our platform.

Indemnification

You agree to indemnify, defend, and hold harmless Metrisk AI, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your violation of these Terms or applicable laws
• Your use or misuse of our services
• Your infringement of any third-party rights
• Any data or content you provide to our platform

Termination and Suspension

Either party may terminate this agreement at any time. You may cancel your subscription through your account settings or by contacting our support team. We may terminate or suspend your account immediately if you violate these Terms.

Effects of Termination

Upon termination, your right to access and use our services immediately ceases. You will be billed for any outstanding fees through the end of your current billing period. We will provide access to export your data for a limited period following termination.

Dispute Resolution

Any disputes arising from these Terms or your use of our services shall first be addressed through good faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration in accordance with Polish law.

Governing Law

These Terms are governed by and construed in accordance with the laws of Poland, without regard to conflict of law principles. The courts of Warsaw, Poland shall have exclusive jurisdiction over any disputes.

Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email and posted on our platform at least 30 days before taking effect. Your continued use of our services after changes become effective constitutes acceptance of the modified Terms.

If you do not agree to modified Terms, you may terminate your account before the changes take effect. Termination is your sole remedy for disagreement with modified Terms.

Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or governmental actions.
